THIS AGREEMENT made the

BETWEEN:

THE CORPORATION OF THE CITY OF PORT COQUITLAM,
a Municipal Corporation having its offices at
2272 McAllister Avenue, Port Coquitlam in the
Province of British Columbia,

(hereinafter called "the City"),

THE KINSMEN CLUB OF PORT COQUITLAM, a Society

under che "Societies Act", carrying on activities
within the City of Port Coquitlam (hereinafter
called "The Kinemen") whereas the City ia the

owner of land described as Lot 91, District Lot

464, Group Gna, Plan 52852 New Weetminster District:
said land baing commonly known as the "Aggie Park"

AND WHEREAS the Kinsmen wish to construct a Community building entirely
at their cost and wish cto convey the said building to the City to

operate as a Community Recreation building.

NOW THEREFORE the parties hareto agree:

i. The Kinsmen will construct at their own cost, inclusive of all
building costs, parkirg area conatruction, utility installation, permits

and fees, the buildiag describad in cho plana attached hereto.

2. The Kinsmen, ac their sole cost and expense will furnieh and equip

the building 4m atcord with the details contatned in the plan attachad

harexe, .

3. The Xinomen, will indoonify and save harmlase the City from all
claims whatsoaver nature ariaing out of the conatruction of the building,
including, but noc limited, indemnify against mechanice liecne or other
claims that may be made against the City by contractors or suppliers

angaged by the Kinemen.

A, The Kinamen will use the building as hereinafter agreed upon in a
manner not in conadjatant with its use as a Community Facility and will
