AND WHEREAS the City Council desires the Land to be
used only for the purposes of a Golf Course including a clubhouse
and other ancillary uses;

NOW THEREFORE in consideration of $1.00 and of the
premises and of other good and valuable consideration the parties
agree as follows: -

The Grantor hereby grants this covenant for

parcel of land situate in Port Coquitlam, British Columbia which
is more Particularly described as:

New Westminster District

(the "Land") .

2. The Land and all buildings on or to be erected on the
Land shall:

(a) be used solely for the purposes of a golf course
including a clubhouse and other ancillary uses;

(b) not be used or built on in any manner that would
interfere with the City's ability to improve certain
adjoining land known as Freemont Street should the City
for any reason at any time decide to develop that land

as a highway.

3. The Grantor acknowledges that the City may in the
future decide to develop Freemont Street as a highway and that it
presently intends to do so should further development on Burke
Mountain in the Municipality of Coquitlam or elsewhere render the
highway presently known as Coast Meridian inadequate in the
City's opinion to serve transportation needs.

4.00 The Land shall not be subdivided without each proposed
subdivision first receiving the approval of the City.
