The City will at al froin and after the date her
indemnify and save the Provineas, the Minister
Canada fro d ag losses, claims, damages, actions,
causes of action, costs or expenses that the Province, the
Minister and Canada (or any one or more of them) may sustain
incur, suffer, or be put to, that arises, directly or :
indirectly, from the Project including, without limitation,

its operation, maintenance or repair.

intellectual Property

All reports produced by the City or resultng from the Project
will. become the joint property of Canada and the Province.

The copyright in all mater rising out of the Project will

belong to Canada and the P @ as tenants in comnion.

The City will own all other intellectual Property arising

from the Project, including patents, industrial designs, and
other intellectual or industrial property and all
applications therefore.

Upon completion of the Project, or earlier, if requested, the
City will report to the Minister on the accunulated
knowledge, experience, Know-how, secret prolesses, formulae,
technology, techniques, procedures, studies, inventions, test
results, programs, including computer programs and software,
and technical and other information arising directly from the
Project, and will provide the Minister with copies of all

relevant documents, including data and plans.
