MISCELLANEOUS

12.01 The Purchaser agrees that it will pay all Goods and Services, Property
Purchase Tax and other taxes that may be applicable to the transaction contemplated by

this Agreement.

12.02 Any notice, document or communication required or permitted to be given
hereunder shall be in writing and shall be deemed to have been duly given if delivered by
hand to the party to which it is to be given as follows:

or such other address as either party may in writing advise. Any notice, document or
communication shall be deemed to have been given and received when delivered.

12.03 Time shall be of the essence of this Offer and the Agreement resulting from

its acceptance.

12.04 This Agreement contains the whole of the agreement between the parties and
there are nc agreements, representations or warranties save as herein set out.

TIME FOR ACCEPTANCE

13.01 - This offer will be open for acceptance by the Vendor on or
before Fs btvary ist, 1992 and may be accepted by the Vendor signing this offer and
