the sum of Ten Thousand Dollars ($10,000.00) by way of a deposit to be held by
Liddle, Burns & Ames (the "Vendor's Solicitors"), in trust, forthwith upon

execution of this Agreement;

as to the balance of the Purchase Price (as adjusted pursuant to section 6.02),
by the payment of such amount te the Vendor's Solicitors, in trust, on the
Completion Date (as hereinafter defined)’ by way of certified cheque,
solicitor's trust cheque or bank draft.

2.02 The amounts paid pursuant to subsection 2.01 (a) will be deposited in an

interest-bearing trust account with interest to the credit of the Vendor.

COMPLETION DATE

3.01 The completion date (the "Completion Date") of the transaction of purchase
and sale contemplated by this Agreement shall take place on February 28, 1992 or such
other date as may be mutually agreed in writing by the Vendor and Purchaser.

VENDOR'S REPRESENTATIONS AND WARRANTIES

4.01. . The Vendor represents and warrants to the Purchaser that:

the Vendor will convey and transfer a good and valid title te the Property free
and clear of all financial charges created or granted by, through or under the

Vendor};

the Vendor is not aware of and will not grant or permit to be registered any
non-financial charges against the Property.

PURCHASER'S COVENANTS

5.0L The Purchaser shall pay the cost of obtaining a survey of the Lands from a

qualified land surveyor in the Province of British Columbia;

3.02 The Purchaser shall attend to and pay the cost of preparing and registering all
documentation required to effect the transfer of the Property to the Purchaser in the
appropriate Land Title Office, including, without restricting the generality of the —
