Punding Amount

5. The Funding will be in an amount up to but not exceeding

$63,250 which represents the estimated Actual Eligible Costs

(as hereinafter definec) of the Project which are described

in the Budget.

Material Changes

6. No material change will be made to the Project or to the
costs of the Project without the prior written approval of
the Minister of Energy, Mines and Petroleum Resources (herein
called the "Minister").

If in the opinion of the Minister a material adverse change
in risk relative to the City or the Project (or both) occurs
at any time prior to any advance or to full advance of the
Funding then, in the discretion of the Minister, no advance
Or no further advances, as the case may be, of the Funding
will be made anything in this offer to the contrary
notwithstanding.

authorized to act on his benalf.

Costs

9. For purposes of this offer and the agreement resulting from
acceptance by the City of this offer “Actual Eligible Costs"
